Signed and Stamped—but Still Invalid? Four Contract Risks You Shouldn't Ignore
A signature and a company seal prove the contract was formed. They do not prove it is enforceable. Here are four situations where a signed contract may carry no legal weight.
An entrepreneur paid 80,000 RMB under a one-year marketing contract. Three months in, progress was negligible. When he sought a refund, the response was: "You signed the contract." He had. But the signatory was a project manager with no written authorization from the company. That single oversight left his position significantly weaker.
Formation Is Not Validity
A contract is formed when both parties agree and sign. A contract is valid when it also satisfies additional requirements under China's Civil Code:
- Both parties have the legal capacity to contract (including authorized representatives for companies)
- Consent is genuine—not obtained through fraud, duress, or fundamental mistake
- Content does not violate mandatory legal provisions
- Content does not violate public policy and social morality
A contract can be formed and signed yet fall short of validity. The consequences depend on whether the contract is void or voidable.
Four Common Validity Gaps
Unauthorized representative: Not every employee can bind the company. Before signing, verify the other party's business license, request a written authorization letter if the signatory is not the legal representative, or insist that the legal representative sign directly.
Overly broad exemption clauses: Standard-form contracts in logistics, brokerage, and SaaS often include language like "the company bears no liability for losses caused by force majeure or third parties." Where such clauses unreasonably strip the counterparty of core rights, they can be declared invalid under the Civil Code's rules on standard-form terms.
Prohibited content: No matter how carefully worded, a contract cannot make illegal conduct legal. Agreements that disguise unlawful arrangements, distribute unlawful proceeds, or violate administrative licensing requirements are void in whole or in part.
Divergence between contract and actual practice: When parties agree to a lower stated price to reduce tax exposure, or pay amounts that differ from the written terms, courts will examine the written contract in a dispute. The undocumented reality is very difficult to prove.
Void vs. Voidable
A void contract has no legal effect from the beginning and can be challenged at any time by anyone with a legitimate interest.
A voidable contract is effective until challenged. The right to rescind belongs only to the affected party and must be exercised within one year of discovering the grounds (fraud, duress, or fundamental mistake). Miss the deadline and the contract stands.
If you suspect a contract is voidable—act promptly. The rescission right expires. Many parties discover the issue but delay acting, then lose the window entirely.
Five Questions to Ask Before Signing
- Does the signatory have written authorization, or is this the legal representative?
- Are deliverables defined specifically enough to be verified?
- Are payment milestones tied to concrete deliverables—not just calendar dates?
- Are default remedies reciprocal, or does one side bear all the risk?
- Is dispute resolution through arbitration or litigation, and in which city?
